Get your documents in one place before you list. Assemble first: 6–12 months of bank statements, your current lease (and landlord contact), copies of every license with expiry dates, and ownership structure documents.
Know your own numbers before a buyer questions them. Separate true Seller's Discretionary Earnings from revenue — net profit, plus your own salary, plus personal expenses run through the business.
Price on positioning, not just discounting — especially in F&B. Thailand's nightlife and F&B sector has grown fast: nightlife venues grew roughly 9% and HORECA outlets grew by around 17% between 2012 and 2017, pushing much of the market toward real oversupply — with more than one in four nightlife establishments estimated to run at a loss. The instinctive response, aggressive happy-hour discounting, usually backfires: research on alcohol-serving venues found low, consistent regular prices outperformed happy-hour promotions as customers' top preference.
Where the real margin gains come from. Renegotiating supplier terms, asking for FOC stock or better rates, tightening operational waste like over-pouring, and consistent branding across every channel — buyers notice a business that looks deliberately run.
